By accessing or using the F|A Engineering Contractor Bid Portal (the "Portal") located at faengineering.ca, you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Portal.
These Terms constitute a binding legal agreement between you and F|A Engineering. We reserve the right to update these Terms at any time. Continued use of the Portal following any update constitutes acceptance of the revised Terms.
IMPORTANT: THE PORTAL IS A FACILITATION TOOL ONLY.
The F|A Engineering Contractor Bid Portal is designed solely to connect property owners,
developers, and project managers with registered contractors for the purpose of soliciting
construction bids. It does NOT constitute engineering services of any kind.
Specifically, you acknowledge and agree that:
You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of Ontario to use the Portal. By using the Portal, you represent and warrant that you meet these requirements.
By submitting information through the Portal, you represent and warrant that:
The Firm maintains a registry of contractors who have expressed interest in receiving bid requests through the Portal. Inclusion in this registry does not constitute endorsement, certification, vetting, licensing verification, or approval of any contractor by the Firm.
You are solely responsible for:
The Firm is not responsible for the quality, timeliness, safety, legality, or any other aspect of any work performed by any contractor.
You retain ownership of all design files, drawings, plans, and other materials you submit through the Portal ("Your Content"). By submitting Your Content, you grant the Firm a limited, non-exclusive, royalty-free licence to share Your Content with registered contractors solely for the purpose of enabling them to prepare bid estimates in response to your submission.
This licence terminates upon your request or upon deletion of your submission from our systems.
You agree not to:
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

REVIEW, OR ANY OTHER PROFESSIONAL ENGINEERING SERVICE.
NO PROFESSIONAL ENGINEER (P.ENG.) EMPLOYED BY OR AFFILIATED WITH F|A ENGINEERING
REVIEWS, APPROVES, CERTIFIES, OR ENDORSES ANY DESIGN, DRAWING, PLAN, 3D MODEL,

In accordance with the Professional Engineers Act, R.S.O. 1990, c. P.28, only a licensed Professional Engineer (P.Eng.) registered with Professional Engineers Ontario (PEO) may provide engineering services, including the review and approval of structural or engineering designs.
F|A Engineering expressly disclaims any representation that use of the Portal constitutes engagement of engineering services. No professional engineer-client relationship is created by use of the Portal, by submission of any design or document through the Portal, or by any communication with F|A Engineering in connection with the Portal.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE ONTARIO LAW, THE PORTAL AND ALL CONTENT, SERVICES, AND FEATURES PROVIDED THROUGH THE PORTAL ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

You agree to defend, indemnify, and hold harmless F|A Engineering and its officers, directors, employees, agents, and service providers from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
F|A Engineering is not a party to any agreement between you and any contractor. All contractual arrangements, including scope of work, pricing, timelines, warranties, and dispute resolution, are solely between you and the contractor. The Firm bears no liability for:
You are solely responsible for verifying that any contractor you engage holds all required Ontario licences, carries appropriate liability and workers' compensation insurance, and is in good standing with all relevant regulatory authorities.
You are solely responsible for ensuring that any project for which you seek bids through the Portal complies with all applicable laws, regulations, and standards, including without limitation:
The Firm makes no representation that any design submitted through the Portal complies with any of the foregoing.
Document 4 โ CASL Consent & Anti-Spam Compliance

Canada's Anti-Spam Legislation (CASL) prohibits the sending of commercial electronic messages (CEMs) without the express or implied consent of the recipient. A CEM includes any electronic message (email, SMS, etc.) that encourages participation in a commercial activity, including messages promoting services or requesting business.
The following communications from F|A Engineering in connection with the Portal may constitute CEMs under CASL:
CASL does not apply to transactional messages sent in direct response to a user's request, such as a submission confirmation email containing only the reference number. However, any marketing content included in such messages may bring them within CASL's scope.
Express consent requires a clear, positive indication from the recipient โ such as ticking an unchecked checkbox โ that they agree to receive CEMs. Express consent must:
Implied consent exists where a person has an existing business relationship with the Firm (e.g., they have used the Portal to submit a bid within the past 24 months). Implied consent expires after 24 months from the last transaction or inquiry.

Your name, email, phone number, and address are withheld from contractors until you expressly accept a bid and consent to disclosure.

The Portal is not directed at individuals under the age of 18. We do not knowingly collect personal information from minors. If you believe a minor has submitted personal information through the Portal, please contact us immediately.
We may update this Privacy Policy from time to time. We will notify you of material changes by posting the updated Policy on the Portal and updating the "Last Reviewed" date above. Your continued use of the Portal following notification of changes constitutes acceptance of the revised Policy.
