1. Acceptance of Terms

By accessing or using the F|A Engineering Contractor Bid Portal (the "Portal") located at faengineering.ca, you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Portal.

These Terms constitute a binding legal agreement between you and F|A Engineering. We reserve the right to update these Terms at any time. Continued use of the Portal following any update constitutes acceptance of the revised Terms.

2. Nature of the Portal — Facilitation Only

IMPORTANT: THE PORTAL IS A FACILITATION TOOL ONLY.

The F|A Engineering Contractor Bid Portal is designed solely to connect property owners,

developers, and project managers with registered contractors for the purpose of soliciting

construction bids. It does NOT constitute engineering services of any kind.

Specifically, you acknowledge and agree that:

• The Portal does not constitute an engineering review, assessment, approval, certification, or endorsement of any design, drawing, plan, or specification submitted through the Portal.
• The Firm does not review, validate, verify, approve, or endorse any design, drawing, plan, elevation, 3D model, or other submission made through the Portal.
• Submission of a design through the Portal does not imply that the design meets any building code, zoning requirement, engineering standard, or regulatory requirement.
• No professional engineer-client relationship is created by use of the Portal.
• Any design files submitted are shared with registered contractors for the sole purpose of enabling those contractors to prepare bid estimates.
• The Firm acts solely as a facilitator and is not a party to any agreement, contract, or arrangement between you and any contractor.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of Ontario to use the Portal. By using the Portal, you represent and warrant that you meet these requirements.

4. User Responsibilities

By submitting information through the Portal, you represent and warrant that:

• All information you provide is accurate, complete, and current.
• You have the legal right to submit any design files, drawings, or other materials you upload.
• Your submissions do not infringe any third-party intellectual property rights.
• You are authorized to represent the property or project for which you are seeking bids.
• You will not use the Portal for any unlawful, fraudulent, or deceptive purpose.

5. Contractor Relationships

The Firm maintains a registry of contractors who have expressed interest in receiving bid requests through the Portal. Inclusion in this registry does not constitute endorsement, certification, vetting, licensing verification, or approval of any contractor by the Firm.

You are solely responsible for:

• Conducting your own due diligence on any contractor before entering into any agreement.
• Verifying that any contractor holds all required licences, permits, and insurance under applicable Ontario law.
• All negotiations, agreements, contracts, payments, and disputes with contractors.

The Firm is not responsible for the quality, timeliness, safety, legality, or any other aspect of any work performed by any contractor.

6. Intellectual Property

You retain ownership of all design files, drawings, plans, and other materials you submit through the Portal ("Your Content"). By submitting Your Content, you grant the Firm a limited, non-exclusive, royalty-free licence to share Your Content with registered contractors solely for the purpose of enabling them to prepare bid estimates in response to your submission.

This licence terminates upon your request or upon deletion of your submission from our systems.

7. Prohibited Uses

You agree not to:

• Submit false, misleading, or fraudulent information.
• Use the Portal to solicit bids for projects you have no authority to commission.
• Attempt to circumvent or interfere with the technical operation of the Portal.
• Use the Portal to transmit spam, malware, or other harmful content.
• Resell or commercialize access to the Portal without written permission from the Firm.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

9. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

F|A Engineering ("we", "us", "our") is committed to protecting the privacy of individuals who use our Contractor Bid Portal. This Privacy Policy explains how we collect, use, disclose, and safeguard personal information in accordance with:

• The Personal Information Protection and Electronic Documents Act (PIPEDA), S.C. 2000, c. 5
• Ontario's Freedom of Information and Protection of Privacy Act (FIPPA), R.S.O. 1990, c. F.31 (where applicable)
• Quebec's Law 25 (An Act to modernize legislative provisions as regards the protection of personal information) — applicable to any Quebec residents who use the Portal
• Any other applicable provincial or federal privacy legislation

2. What Personal Information We Collect

When you submit a bid request through the Portal, we collect the following categories of personal information:

• Email address
• Phone number
• Company or organization name
• Your role (e.g., homeowner, developer, architect)
• Project street address, city, province, postal code, and country
• Project details including type, budget range, square footage, and description
• Design files, drawings, elevation plans, and 3D model images you upload

2.2 Information Collected Automatically

• Browser type and version
• Operating system
• IP address
• Pages visited and time spent on the Portal
• Referring URLs

THE F|A ENGINEERING CONTRACTOR BID PORTAL IS A FACILITATION TOOL ONLY.

USE OF THIS PORTAL DOES NOT CONSTITUTE ENGINEERING SERVICES, PROFESSIONAL

ENGINEERING ADVICE, DESIGN REVIEW, STRUCTURAL ASSESSMENT, CODE COMPLIANCE

REVIEW, OR ANY OTHER PROFESSIONAL ENGINEERING SERVICE.

NO PROFESSIONAL ENGINEER (P.ENG.) EMPLOYED BY OR AFFILIATED WITH F|A ENGINEERING

REVIEWS, APPROVES, CERTIFIES, OR ENDORSES ANY DESIGN, DRAWING, PLAN, 3D MODEL,

ELEVATION, OR OTHER SUBMISSION MADE THROUGH THIS PORTAL.

SUBMISSION OF A DESIGN THROUGH THIS PORTAL DOES NOT IMPLY COMPLIANCE WITH

THE ONTARIO BUILDING CODE, APPLICABLE ZONING BY-LAWS, OR ANY OTHER REGULATORY

REQUIREMENT.

In accordance with the Professional Engineers Act, R.S.O. 1990, c. P.28, only a licensed Professional Engineer (P.Eng.) registered with Professional Engineers Ontario (PEO) may provide engineering services, including the review and approval of structural or engineering designs.

F|A Engineering expressly disclaims any representation that use of the Portal constitutes engagement of engineering services. No professional engineer-client relationship is created by use of the Portal, by submission of any design or document through the Portal, or by any communication with F|A Engineering in connection with the Portal.

2. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE ONTARIO LAW, THE PORTAL AND ALL CONTENT, SERVICES, AND FEATURES PROVIDED THROUGH THE PORTAL ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Warranties that the Portal will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy, reliability, completeness, or timeliness of any content or information on the Portal.
• Warranties regarding the quality, reliability, licensing, or workmanship of any contractor accessed through the Portal.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE ONTARIO LAW:

3.1 Exclusion of Consequential Damages

IN NO EVENT SHALL F|A ENGINEERING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities.
• Loss or corruption of data or designs.
• Costs of substitute services or procurement of replacement contractors.
• Property damage arising from work performed by any contractor introduced through the Portal.
• Personal injury arising from work performed by any contractor introduced through the Portal.

THIS EXCLUSION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE FIRM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3.2 Cap on Liability

TO THE EXTENT THAT ANY LIABILITY OF F|A ENGINEERING CANNOT BE EXCLUDED UNDER APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PORTAL OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

• ONE HUNDRED CANADIAN DOLLARS ($100.00 CAD); OR
• THE AMOUNT, IF ANY, PAID BY YOU TO THE FIRM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

3.3 Ontario Consumer Protection

4. Indemnification

You agree to defend, indemnify, and hold harmless F|A Engineering and its officers, directors, employees, agents, and service providers from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Portal.
• Any design, drawing, plan, or other content you submit through the Portal.
• Any agreement, dispute, or claim arising between you and any contractor introduced through the Portal.
• Your breach of these Terms or any applicable law.
• Any misrepresentation made by you in connection with the Portal.

5. Contractor Liability

F|A Engineering is not a party to any agreement between you and any contractor. All contractual arrangements, including scope of work, pricing, timelines, warranties, and dispute resolution, are solely between you and the contractor. The Firm bears no liability for:

• The quality, safety, or legality of any work performed by a contractor.
• Any contractor's failure to perform, breach of contract, negligence, or professional misconduct.
• Any personal injury, property damage, financial loss, or other harm arising from work performed by a contractor.

You are solely responsible for verifying that any contractor you engage holds all required Ontario licences, carries appropriate liability and workers' compensation insurance, and is in good standing with all relevant regulatory authorities.

6. Regulatory Compliance — Your Responsibility

You are solely responsible for ensuring that any project for which you seek bids through the Portal complies with all applicable laws, regulations, and standards, including without limitation:

• The Ontario Building Code (O. Reg. 332/12 under the Building Code Act, 1992, S.O. 1992, c. 23).
• Applicable municipal zoning by-laws and official plans.
• The Planning Act, R.S.O. 1990, c. P.13.
• The Conservation Authorities Act, R.S.O. 1990, c. C.27 (where applicable).
• Any requirements of the Ontario Land Tribunal or local Committee of Adjustment.
• Any other applicable federal, provincial, or municipal law or regulation.

The Firm makes no representation that any design submitted through the Portal complies with any of the foregoing.

Document 4 — CASL Consent & Anti-Spam Compliance

Document 4: CASL Consent & Anti-Spam Compliance

1. Overview

Canada's Anti-Spam Legislation (CASL) prohibits the sending of commercial electronic messages (CEMs) without the express or implied consent of the recipient. A CEM includes any electronic message (email, SMS, etc.) that encourages participation in a commercial activity, including messages promoting services or requesting business.

2. What Constitutes a CEM Under CASL

The following communications from F|A Engineering in connection with the Portal may constitute CEMs under CASL:

• Follow-up emails to users who have submitted bid requests.
• Notifications to users about contractor responses to their bids.
• Any promotional or marketing communications about the Firm's services.

CASL does not apply to transactional messages sent in direct response to a user's request, such as a submission confirmation email containing only the reference number. However, any marketing content included in such messages may bring them within CASL's scope.

3. Consent Requirements

3.1 Express Consent

Express consent requires a clear, positive indication from the recipient — such as ticking an unchecked checkbox — that they agree to receive CEMs. Express consent must:

• Clearly describe the type of messages the person is consenting to receive.
• Identify the organization seeking consent.
• Include a means by which the person can easily withdraw consent.
• Not be bundled with consent to other terms or conditions.

3.2 Implied Consent

Implied consent exists where a person has an existing business relationship with the Firm (e.g., they have used the Portal to submit a bid within the past 24 months). Implied consent expires after 24 months from the last transaction or inquiry.

4. Unsubscribe Mechanism

Every CEM sent by F|A Engineering must include:

• An unsubscribe mechanism that allows the recipient to opt out within 10 business days.
• The Firm's mailing address.
• A working email address or link through which the recipient can unsubscribe.

5. Recommended Portal Implementation

The following changes are recommended to the Portal to achieve CASL compliance:

• Add a separate, unchecked checkbox on the bid submission form with language such as: "I would like to receive updates and news from F|A Engineering by email. I understand I can unsubscribe at any time." This checkbox must be separate from the Terms of Service acceptance checkbox.
• Include the following text near the submission button: "By submitting this form, you will receive a transactional confirmation email containing your reference number. This confirmation is not a commercial electronic message."
• Maintain a consent log recording: the date and time of consent, the wording of the consent request at that time, the method of consent, and the recipient's identifier (email address).
• Implement an unsubscribe link in all non-transactional email communications.
• Honour all unsubscribe requests within 10 business days.

We collect this information through standard web server logs and, where applicable, cookies. Please see our Cookie Policy (Document 5) for more information.

3. How We Use Your Personal Information

We use your personal information for the following purposes:

• To process and transmit your bid request to registered contractors in your area.
• To generate and send you a reference number confirming your submission.
• To communicate with you regarding your submission, including follow-up inquiries.
• To improve the functionality and user experience of the Portal.
• To comply with legal obligations.

We will not use your personal information for direct marketing or promotional communications without your express consent as required by Canada's Anti-Spam Legislation (CASL).

4. Disclosure of Your Personal Information

We share your personal information only in the following circumstances:

4.1 With Registered Contractors

Your design files and project details (but NOT your personal contact information) are shared with registered contractors for the purpose of enabling them to prepare bid estimates. Your name, email, phone number, and address are withheld from contractors until you expressly accept a bid and consent to disclosure.

4.2 With Third-Party Service Providers

We use the following third-party services that may process your personal information on our behalf:

• Formspree (email delivery service) — used to transmit bid submission notifications to F|A Engineering. Formspree processes your submission data in accordance with their own privacy policy available at formspree.io.

4.3 As Required by Law

We may disclose your personal information if required to do so by law, court order, or governmental authority, or if we believe in good faith that such disclosure is necessary to protect our rights, your safety, or the safety of others.

4.4 Business Transfers

In the event of a merger, acquisition, or sale of all or a portion of our assets, personal information may be transferred as part of that transaction. We will notify you before your personal information becomes subject to a different privacy policy.

5. Your Rights Under PIPEDA and Ontario Law

Subject to applicable law, you have the following rights regarding your personal information:

• Right of Access: You may request a copy of the personal information we hold about you.
• Right of Correction: You may request that we correct inaccurate or incomplete personal information.
• Right of Withdrawal of Consent: You may withdraw your consent to our use of your personal information at any time, subject to legal and contractual restrictions.
• Right to Deletion: You may request that we delete your personal information from our records, subject to our legal obligations to retain certain information.
• Right to Lodge a Complaint: You have the right to lodge a complaint with the Office of the Privacy Commissioner of Canada (OPC) at priv.gc.ca or the Information and Privacy Commissioner of Ontario at ipc.on.ca.

6. Data Retention

• Restricted access to personal information on a need-to-know basis.

However, no method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security of your personal information.

8. Cross-Border Data Transfers

Your personal information may be processed or stored outside of Ontario or Canada by our third-party service providers (including Formspree). By using the Portal, you consent to such transfers. We take reasonable steps to ensure that any third-party recipients of your personal information provide a level of protection comparable to that required under Canadian law.

9. Children's Privacy

The Portal is not directed at individuals under the age of 18. We do not knowingly collect personal information from minors. If you believe a minor has submitted personal information through the Portal, please contact us immediately.

10. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. We will notify you of material changes by posting the updated Policy on the Portal and updating the "Last Reviewed" date above. Your continued use of the Portal following notification of changes constitutes acceptance of the revised Policy.

Cookies are small text files placed on your device by a website. They are widely used to make websites work efficiently and to provide reporting information to site operators.

2. How We Use Cookies

The Contractor Bid Portal currently uses the following types of data storage:

2.1 Local Storage (Browser)

The Portal uses your browser's localStorage to save any bid form draft data you choose to save locally. This data is stored on your device only and is not transmitted to our servers.

2.2 Session Cookies

Standard session cookies may be set by your browser to maintain the state of your browsing session. These expire when you close your browser.

2.3 Third-Party Cookies

The Portal uses the following third-party services that may set cookies:

• Formspree: Used for email delivery of bid submissions. Please refer to the Formspree privacy policy at formspree.io for details.

3. Managing Cookies

You can control and/or delete cookies as you wish. You can delete all cookies that are already on your computer and you can set most browsers to prevent them from being placed. However, if you do this, you may have to manually adjust some preferences every time you visit the Portal.

Summary of Required Actions Before Launch

The following actions must be completed before publishing this Portal publicly.

This list is not exhaustive — consult a qualified Ontario lawyer.

• Engage a lawyer licensed in Ontario to review, revise, and approve all five documents in this package.
• Designate a Privacy Officer as required by PIPEDA and document their contact information.
• Establish a formal data retention schedule and document it.
• Audit all third-party services used by the Portal (hosting, email, analytics) and disclose them in the Privacy Policy.
• Add a separate CASL consent checkbox to the Portal submission form (separate from the Terms checkbox).
• Implement a functional unsubscribe mechanism for all marketing emails.
• Implement a cookie audit and, if applicable, a cookie consent banner.
• Replace the phrase "verified contractors" with "registered contractors" or "participating contractors" unless a documented vetting process exists.
• Add links to the Privacy Policy and Terms of Service in the Portal footer and near the submission button.
• Consider adding an accessibility statement to comply with the Accessibility for Ontarians with Disabilities Act (AODA).
• Consult with PEO (Professional Engineers Ontario) regarding whether any aspect of the Portal's marketing or operation could be interpreted as offering engineering services to the public without a licence.
